Mutual Non-Disclosure Agreement (NDA)

Effective: At the time of successful file transmission via fosite.co.uk Governing Law: UK Contract Law (Common Law), EU Contract Law Principles, EU Directive 2004/48/EC, eIDAS Regulation (EU) 910/2014

This mutual Non-Disclosure Agreement ("Agreement") is automatically established upon the use of the Fosite file transmission service provided at fosite.co.uk (hereinafter: “Platform”) between:

  • the Sender of the file (hereinafter: “Disclosing Party”), and
  • the Recipient of the file (hereinafter: “Receiving Party”).

This Agreement provides legal protection for all confidential information ("Confidential Information") transmitted by the Disclosing Party to the Receiving Party through the Platform, including but not limited to:

  • business plans, financial data, marketing strategies;
  • technical specifications, algorithms, drafts, designs;
  • written content, manuscripts, scripts;
  • artworks, images, audio, video files;
  • any form of intellectual property not in the public domain.

Each file is timestamped and digitally fingerprinted using cryptographic hash and secure metadata logging.

The Receiving Party agrees to:

  1. 3.1 Maintain confidentiality of all Confidential Information received;
  2. 3.2 Not disclose, reproduce, distribute, or use any part of the Confidential Information for any purpose other than for internal evaluation, without the prior written consent of the Disclosing Party;
  3. 3.3 Restrict access to the Confidential Information to personnel or affiliates bound by equivalent confidentiality obligations;
  4. 3.4 Apply adequate technical and organizational safeguards in accordance with:
    • the UK Data Protection Act 2018,
    • the EU General Data Protection Regulation (EU 2016/679),
    • and international best practices for data security.
  5. 3.5 Acknowledge that the Agreement is legally binding without signature, by the mere act of using the Platform and receiving Confidential Information.

The confidentiality obligations remain in force for five (5) years from the date of receipt of the file, or until the Confidential Information enters the public domain through lawful means not attributable to the Receiving Party.

  1. 5.1 In the event of a breach, the Disclosing Party shall be entitled to:
    • initiate legal proceedings in accordance with the UK Civil Procedure Rules - Part 32, and the EU Directive 2004/48/EC on the enforcement of intellectual property rights;
    • request injunctive relief or interim measures;
    • claim full compensation for all damages, including loss of profits and unjust enrichment;
    • pursue remedies under applicable tort and contract law provisions.
  2. 5.2 The Receiving Party shall be liable for the actions or omissions of any person to whom they have granted access to the Confidential Information.

This Agreement does not apply to information that:

  • becomes publicly known without breach of this Agreement;
  • was already lawfully in the Receiving Party's possession and can be proven by prior records;
  • is required to be disclosed under court order or government regulation, provided the Disclosing Party is notified in advance (where legally permissible).
  1. 7.1 This Agreement shall be governed exclusively by the laws of the United Kingdom, in particular:
    • UK Contract Law (Common Law principles),
    • UK Data Protection Act 2018,
    • UK Civil Procedure Rules,
    • EU Directive 2004/48/EC,
    • eIDAS Regulation (EU) No. 910/2014.
  2. 7.2 In the event of a dispute:
    • the parties shall attempt to resolve it amicably;
    • failing which, jurisdiction is agreed to lie with the London Commercial Court (UK) or, where applicable, a court of competent jurisdiction in the European Union (IP Enforcement Courts).
  1. 8.1 This Agreement shall be considered in full force and effect upon successful file upload and transmission through the Platform.
  2. 8.2 The Platform generates a timestamped digital certificate with unique identifiers, which may be submitted as valid evidence in legal or administrative proceedings.
  3. 8.3 Fosite is not a contracting party, but serves as a neutral certificate authority and platform provider.
